Early-adopter agreement
Terms of Service
These terms apply to the Orderly early-adopter service operated by Northstar Ideations, Inc., a Wisconsin corporation. By creating a workspace or using Orderly, you agree to them for yourself and the organization you represent.
Service and eligibility
Orderly is a responsive business operations application for customers, sales, jobs, inventory, purchasing, employees, time, documents, and operational financial records. You must be authorized to bind the organization whose workspace you create and must provide accurate account information.
Trial and continued service
The early-adopter offer begins with a 30-day trial and does not require a payment card at signup. Continued access after the trial is offered at $39.99 per month unless a different written pilot arrangement applies. Payment setup will be arranged before billing begins; Orderly will not charge a card that was never provided.
Accounts and access
Workspace owners are responsible for invitations, assigned roles, employee PINs, permission packs, and removing access when it is no longer needed. Users must protect credentials, use MFA when required, and promptly report suspected unauthorized access. Accounts and PINs may not be shared between people.
Customer data
Your organization retains ownership of the business data and documents it provides. You grant Orderly the limited right to host, process, transmit, back up, and display that data only as needed to operate, secure, support, and improve the service. You represent that your organization has the rights and lawful basis needed to provide the information it enters.
Acceptable use
You may not use Orderly to break the law; interfere with the service; probe or bypass security; access another organization’s information; upload malware; send abusive, deceptive, or unsolicited content; or store information that the service was not designed to protect, including payment-card data, health records, government identification documents, or account credentials.
Product boundaries and professional review
Orderly supports operational records and bookkeeper-ready workflows. It is not a bank, payroll provider, tax preparer, legal adviser, point-of-sale system, or compliance-grade system of record. Reports and calculations should be reviewed by the appropriate owner, bookkeeper, accountant, or other qualified professional before they are used for tax filings, payroll, regulated reporting, lending, or other consequential decisions.
Availability and changes
Early-adopter software will continue to evolve and may contain defects. We work to preserve customer information and communicate material workflow changes, but uninterrupted availability is not guaranteed. We may temporarily restrict access to contain a security issue, protect data integrity, perform maintenance, or prevent abuse.
Support, export, and termination
Support and account requests may be sent to admin@useorderly.app. An organization owner may request a protected export or cancellation. Before destructive workspace deletion, Orderly verifies the owner, identifies the exact workspace, offers a final export, and requires explicit confirmation. Restricted backup copies age out under the applicable backup schedule.
Intellectual property
Orderly, its software, design, documentation, and branding belong to Northstar Ideations, Inc. and its licensors. These terms give customers a limited, nonexclusive, nontransferable right to use the hosted service during an active trial or subscription. Feedback may be used to improve Orderly without transferring ownership of customer data.
Disclaimers and responsibility
To the extent permitted by law, the early-adopter service is provided “as is” and “as available.” Northstar Ideations, Inc. is not responsible for indirect, special, incidental, or consequential damages, lost profits, or losses caused by customer instructions, unauthorized credentials, third-party services, or use outside the documented product scope. Nothing here excludes rights or responsibilities that cannot legally be excluded.
Changes and contact
We may update these terms as Orderly matures. Material changes will be reflected by a revised effective date and, when appropriate, notice to active workspace owners. Questions may be sent to admin@useorderly.app.
